The Dealmaker: The M&A-Ready Check List (and Dealkillers)

Another potential deal hiccup (not quite a dealkiller) is blowing out the option pool just prior to an acquisition. It quite possibly won't matter to the acquirer, but it smacks of self-dealing nontheless.

One very real dealkiller is onerous employment agreements with executives that stipulate generous payouts on change in control or "constructive termination".
